1. Who we are
Matchly ("Matchly," "we," "us," or "our") is operated by Fazekas Viktor, an individual based in Hungary. Matchly is not currently a registered company; it is operated as an individual, sole proprietorship-style undertaking. This section will be updated once formal business registration is complete.

2. What Matchly is
Matchly is a platform that connects brands seeking content and promotion ("Brands") with content creators ("Creators") for paid collaborations. Matchly acts as an intermediary: it facilitates discovery, communication, payment, and delivery of work between Brands and Creators, but Matchly is not a party to the underlying collaboration agreement between a Brand and a Creator, except as described in Section 5 (Payments).
3. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to use Matchly. By creating an account, you confirm this is true.
4. Accounts
- You are responsible for the accuracy of the information in your profile (for Creators) or campaign requests (for Brands).
- You are responsible for maintaining the confidentiality of your account credentials.
- Matchly may suspend or terminate accounts that violate these Terms, provide false information, or misuse the platform.
5. Payments and escrow
- Brands pay for a Creator's services through Matchly, using Stripe as the payment processor.
- Funds paid by a Brand are held by Matchly (via Stripe) until the associated content or deliverable is submitted by the Creator and approved.
- Once approved, funds are released to the Creator's connected Stripe account, minus Matchly's commission.
- Matchly charges Brands a subscription fee and/or a commission on each transaction, as displayed on the platform at the time of purchase.
- Creators do not pay any fee to use Matchly.
- Matchly is not a bank and does not guarantee funds beyond what is actually held in escrow via Stripe.
6. Creator conduct
Creators agree to provide accurate profile information, deliver content that reasonably matches what was agreed with the Brand, and not share personal contact information or attempt to move a collaboration off-platform in a way that circumvents Matchly's fees.
7. Brand conduct
Brands agree to provide accurate campaign requirements, pay for approved deliverables through Matchly, and not use content obtained through Matchly outside the scope agreed with the Creator.
8. Prohibited use
You may not post false or fraudulent information, attempt to bypass Matchly's payment system, harass or abuse other users, or upload illegal or infringing content.
9. Intellectual property
Content submitted by Creators remains owned by the Creator unless otherwise agreed directly between the Brand and Creator. By submitting content through Matchly, Creators grant Brands a license to use the approved deliverable as agreed in the collaboration, scoped to one of the three usage categories below depending on what was purchased.
- UGC, Creator posts: the Creator posts the content on their own account. The Brand never receives the raw file, there is no license granted to the Brand, and there is no expiry.
- UGC, Brand posts: the Brand receives the raw file and may use it without expiry or renewal. This is a one-time purchase covering unlimited use.
- Meta Ads / Ad Creative: the Brand receives the raw file for use as a paid advertisement, under a 90-day license. The 90 days begin when the Brand marks the content as posted/live in the platform, or automatically 14 days after delivery if the Brand has not done so. Continuing to run the same content as a paid ad after the license expires, or using content originally purchased under UGC, Creator posts or UGC, Brand posts as a paid ad as well, each require a new purchase at full price. Matchly does not offer discounted renewals or add-on pricing for either case, and the Creator is paid in full again for each such purchase.
9a. Intellectual property infringement claims (notice and takedown)
If you believe content on Matchly infringes your rights, email info@joinmatchly.com with a description of the work, the URL of the material, your contact information, and a good-faith statement of infringement made under penalty of perjury. We will review valid notices and may remove content, notifying the uploader where appropriate, consistent with the EU Digital Services Act's notice-and-action framework.
10. Disclaimers
Matchly provides the platform "as is." We do not guarantee the quality, timeliness, or outcome of any collaboration between a Brand and a Creator.
11. Limitation of liability
To the maximum extent permitted by law, Matchly's liability for any claim is limited to the fees paid to Matchly in the transaction giving rise to the claim. Matchly is not liable for indirect or consequential damages. Nothing here limits liability that cannot be limited under applicable law.
11a. Indemnification
You agree to indemnify Matchly (and Fazekas Viktor personally, as its operator) against claims arising from your breach of these Terms, content you submit, your violation of law or third-party rights, or a Brand–Creator dispute where Matchly is not at fault.
11b. Account suspension and termination
Matchly may suspend or terminate accounts that violate these Terms. You may request account deletion at any time via info@joinmatchly.com.
11c. Dispute resolution
Contact info@joinmatchly.com first to resolve disputes informally. Unresolved disputes after 30 days may be brought before the competent courts of Hungary. EU consumers retain rights under the EU Online Dispute Resolution platform and applicable consumer protection law.
11d. Severability
If any provision is found invalid, it will be limited to the minimum extent necessary, and the rest remains in effect.
11e. Entire agreement
These Terms, the Privacy Policy, and the Cookie Policy make up the entire agreement between you and Matchly.
11f. No waiver
Matchly's failure to enforce a right is not a waiver of that right.
11g. Force majeure
Matchly is not liable for delays caused by events outside our reasonable control, including outages of third-party providers like Stripe, Vercel, or Neon.
12. Changes to these Terms
We may update these Terms from time to time. Continued use after changes take effect means you accept the update.
13. Governing law
These Terms are governed by the laws of Hungary.
